These Terms of Service (“Terms”) govern access to and use of services provided by Tagzum LLC, a Washington limited liability company (“Tagzum,” “Company,” “we,” “us,” or “our”). By engaging our services or using our website, you agree to these Terms.
1. Services
Tagzum provides digital build services including website development, e-commerce systems, analytics configuration, marketing infrastructure, consulting, and related services. Scope is defined in writing through proposals, invoices, or agreements.
2. No Performance Guarantees
Tagzum does not guarantee revenue, search rankings, advertising performance, conversion rates, algorithm positioning, or business outcomes. Digital performance depends on third-party platforms and market conditions beyond our control.
3. Client Responsibilities
Clients are responsible for:
- Providing accurate information
- Maintaining legal compliance of their business
- Maintaining required licenses and disclosures
- Reviewing and approving deliverables
- Securing their own data compliance obligations
4. Payments & Subscriptions
All fees are due as stated in the invoice. Recurring subscriptions renew automatically unless canceled in writing. Failure to pay may result in suspension of services.
5. Intellectual Property
Tagzum retains ownership of proprietary methods, frameworks, templates, and internal systems. Upon full payment, clients receive rights to final deliverables unless otherwise agreed in writing.
6. Third-Party Platforms
Tagzum is not responsible for downtime, policy changes, suspensions, algorithm updates, API restrictions, hosting outages, or platform-related disruptions.
7. Limitation of Liability
To the maximum extent permitted by Washington law, Tagzum LLC’s total liability shall not exceed the total amount paid by the client in the three (3) months preceding the claim.
Tagzum shall not be liable for indirect, incidental, consequential, special, punitive, or lost profit damages.
8. Indemnification
Clients agree to indemnify and hold harmless Tagzum LLC from any claims, damages, losses, liabilities, and legal expenses arising from:
- Client-provided content
- Client misuse of deliverables
- Regulatory violations by client
- Data privacy violations by client
9. Arbitration & Class Action Waiver
Any dispute arising from these Terms shall be resolved exclusively through binding arbitration in the State of Washington under the rules of the American Arbitration Association.
Clients waive any right to participate in class actions or collective proceedings.
10. Governing Law
These Terms shall be governed by the laws of the State of Washington, without regard to conflict of law principles.
11. Force Majeure
Tagzum shall not be liable for failure to perform due to events beyond its reasonable control, including natural disasters, internet outages, governmental actions, or platform disruptions.
12. Attorney Fees
In any dispute arising under these Terms, the prevailing party shall be entitled to recover reasonable attorney fees and costs.
13. Updates
Tagzum may update these Terms at any time. Continued use of Services constitutes acceptance of changes.
